Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Kathmandu HQ website and mobile application (collectively, the “Platform”) operated by Kathmandu HQ (“we”, “our”, or “us”).

By creating an account, listing a business, or otherwise using the Platform, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Platform.

You must be at least 13 years of age to use the Platform. By using the Platform you represent and warrant that:

• You are at least 13 years old.
• You have the legal capacity to enter into a binding agreement.
• Your use of the Platform does not violate any applicable law or regulation.

To access certain features you must create an account. You agree to:

• Provide accurate, current, and complete registration information.
• Maintain the security and confidentiality of your password.
• Notify us immediately of any unauthorised use of your account.
• Be responsible for all activity that occurs under your account.

You may not create accounts on behalf of others without their permission, or create accounts for deceptive purposes.

Business owners may register their businesses on the Platform subject to the following conditions:

• You must be the authorised representative of the business you register.
• All information submitted must be accurate, truthful, and kept up to date.
• KYC documents submitted for verification must be genuine and belong to the registered business.
• Submitting false or misleading KYC documents may result in permanent suspension and may be reported to authorities.
• We reserve the right to approve, reject, or remove any listing at our discretion.
• Listing a business is free. We may introduce paid features in the future, which will be clearly communicated.

“User Content” means any content you submit to the Platform, including reviews, ratings, messages, photos, and business information.

By submitting User Content you:

• Grant Kathmandu HQ a non-exclusive, royalty-free, worldwide licence to use, display, reproduce, and distribute that content on the Platform.
• Represent that you own or have the rights to submit the content.
• Agree that the content does not violate any third-party rights or applicable law.

We do not endorse any User Content and are not responsible for it.

You agree not to:

• Post false, misleading, defamatory, or fraudulent content.
• Impersonate any person or entity.
• Submit fake reviews or manipulate ratings.
• Use the Platform to send spam, unsolicited communications, or advertising.
• Attempt to gain unauthorised access to any part of the Platform or other users' accounts.
• Use automated bots or scrapers to extract data from the Platform without our written consent.
• Post content that is unlawful, obscene, hateful, threatening, or that infringes intellectual property rights.
• Interfere with or disrupt the integrity or performance of the Platform.
• Use the Platform for any unlawful purpose or in violation of Nepal law.

The Platform and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Kathmandu HQ. Our trademarks, logos, and service marks may not be used without our prior written permission.

You retain ownership of any User Content you submit, subject to the licence granted above.

The Platform is provided on an “as is” and “as available” basis without warranties of any kind, either express or implied.

• We do not warrant that the Platform will be uninterrupted, error-free, or secure.
• We do not verify every piece of business information and do not guarantee its accuracy.
• The “Verified” badge indicates that we have reviewed KYC documents but does not constitute an endorsement or guarantee of the business's services.
• We are not responsible for any transactions or interactions between users and businesses.

To the fullest extent permitted by applicable law, Kathmandu HQ and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of (or inability to access or use) the Platform.
• Any conduct or content of any third party on the Platform.
• Any content obtained from the Platform.
• Unauthorised access, use, or alteration of your content.

We reserve the right to suspend or terminate your account and access to the Platform at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

You may delete your account at any time from the mobile app under Settings → Delete Account. Upon deletion, your data will be removed in accordance with our Privacy Policy.

These Terms shall be governed by and construed in accordance with the laws of Nepal, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Kathmandu, Nepal.

We reserve the right to modify these Terms at any time. When we make material changes, we will update the “Last updated” date and notify users via email or in-app notification. Your continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms.
